Terms of Service & Engineering Agreement Terms

1. Agreement & Services Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and YourCoder Technologies (operating under the brand "YourCoder", website: www.hireyourcoder.com, "Company", "we", "us", or "our"), headquartered in Moradabad, Uttar Pradesh, India. By accessing our website, hiring our engineering team, or executing a Statement of Work (SOW), you agree to be bound by these Terms.

Our engineering services include custom web application development (Next.js/React), iOS & Android mobile app engineering, custom AI automation, technical SEO, staff augmentation, and enterprise cloud DevOps.

2. Engagement Process & Mutual Approval

We operate under a 0-pressure, agreement-first engagement model:

• Discovery & Scope Definition: Prior to commencing development, both parties align on detailed functional requirements, deliverable milestones, technology stack specifications, and cost estimates.
• Formal Contract Sign-Off: Software development begins strictly after the Client reviews, approves, and executes a formal Statement of Work (SOW) or Master Services Agreement (MSA).

3. Intellectual Property (100% Client Ownership)

We respect your proprietary assets:

• Codebase & Asset Transfer: Upon full settlement of agreed invoice milestones, 100% full intellectual property (IP) rights, source code repositories, design assets, and database schemas are transferred to the Client.
• Pre-Existing Tools: Standard open-source libraries, frameworks (e.g. Next.js, React), and internal reusable helper utilities remain subject to their respective open-source licenses.

4. Payment Terms & Milestone Invoicing

Invoices are issued based on mutually agreed milestone schedules or monthly retainer rates specified in your SOW. Payment must be cleared according to invoice due dates via approved bank transfer or Stripe gateway. Delayed payments may result in temporary suspension of active sprint work until accounts are settled.

5. Confidentiality & Non-Disclosure (NDA)

Both parties agree to treat all business strategies, source code, data schemas, trade secrets, and financial details shared during the engagement as strictly confidential. This obligation survives the termination of any service contract.

6. Limitation of Liability & Warranty Disclaimer

While we guarantee high-quality code adhering to 100% Core Web Vitals and industry standards, our total liability for any claims arising from our services shall not exceed the total amount paid by the Client for the specific SOW during the preceding 3 months. In no event shall we be liable for indirect, incidental, or consequential damages.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Moradabad, Uttar Pradesh, India.
